DASV will fulfil every aspect of the job as set out below either directly or facilitating through DASV\u2019s authorized service partners.<\/span><\/p>\n<p><\/p>\n<p><strong>DASV Services<\/strong><\/p>\n<p><\/p>\n<p>DASV will provide the following services:<\/p>\n<ol>\n<li><strong>Repair Warranty<\/strong> \u2013 DASV will provide the Owner with Repair Warranty for the duration of the Agreement, conditional upon Internet Monitoring Connectivity. Under this Warranty, DASV will fulfil the workmanship required to execute repairs of the dehumidifier, if any, and bring the equipment back to manufacturer\u2019s original specifications. Repair Warranty claims must be filed while the Agreement is active for the claim to be valid.<\/li>\n<\/ol>\n<ol start=\"2\">\n<li><strong>Periodic Maintenance<\/strong> \u2013 4 Preventative Maintenance visits are included in this Agreement. The first maintenance visit will occur approximately 90 days (3 months) after the Factory Startup completion date or 30 days (1 month) after the Agreement has been signed by both parties and will repeat quarterly for a total of 4 maintenance visits.<\/li>\n<\/ol>\n<ol start=\"3\">\n<li><strong>Filters for Life Program \u2013 <\/strong>The Owner will be enrolled in DASV\u2019s premium filter subscription program called Filters for Life, for the duration the Owner maintains his Agreement active. In this program, filters required for the 4 quarterly changeouts under the Agreement period will be delivered to the site by a DASV Technician or by means of drop-shipping.<\/li>\n<\/ol>\n<ol start=\"5\">\n<li><strong>Priority Phone Support<\/strong> \u2013 DASV will offer priority \u2018<em>Skip-the-Queue\u2019<\/em> phone support for general and technical assistance for the duration of the Agreement.<\/li>\n<li><strong>Dedicated Account Manager<\/strong> <strong>\u2013<\/strong> DASV will appoint a single point of contact for all service-related issues for the dehumidifier covered for the duration of this Agreement.<\/li>\n<\/ol>\n<p>Thank you for the opportunity to support your dehumidifier, as we look forward to working with you on this project.<\/p>\n<p><\/p>\n<p><b style=\"font-style: inherit; color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; background-color: var(--ast-global-color-5);\">Terms and Conditions &#8211; Dehumidified Air Solutions\nAftermarket Division (\u201cDehumidified Air Services\u201d or \u201cDASV\u201d)<\/b><br><\/p><p><b>Offer &amp; Acceptance: <\/b>This Quote (\u201cproposal\u201d,\n\u201cbid\u201d) shall be considered Approved (&#8220;placed&#8221;, &#8220;confirmed&#8221;)\nonce the Buyer has submitted a purchase order or performed a credit\/debit card\npre-authorization, and the quote shall then be referred to as an Order. <o:p><\/o:p><\/p><p><b>Quote Validity and Renewal: <\/b>The quote shall be valid\nfrom the date it was first created, and shall expire, without the necessity of\nnotice, on the 30th day from the date of creation. If the quote validity has\nexpired, Buyer may obtain a new quote or request the quote to be renewed by\ncontacting DASV.<o:p><\/o:p><\/p><p>DASV does not guarantee to match the pricing or terms and\nconditions of an expired quote, and any such exception shall be made at DASV&#8217;s sole\ndiscretion, on a case-by-case basis, and agreed upon in writing by both\nparties. Any decision by the Buyer or DASV not to renew the quote shall be\nwithout compensation, penalty, or liability on the part of the Buyer or DASV to\nthe Buyer. Renewals, conditions, and related costs may be subject to approval\nby DASV. <o:p><\/o:p><\/p><p><b>Scope of Terms and Conditions:<o:p><\/o:p><\/b><\/p><p>Once the quote has been Approved, the Terms and Conditions\nof the Order are limited to those contained herein. By accepting delivery of\nthe products, services or by engaging DASV to provide product(s) or perform any\nservices, the Buyer agrees to accept and be bound these Terms and Conditions. <o:p><\/o:p><\/p><p><b>Payment Terms &amp; Method: <\/b>Order shall be marked as fulfilled\n(\u201cdelivered\u201d, \u201crendered\u201d, \u201ccompleted\u201d) once materials have been shipped, and\nthe quoted workmanship duration has been executed. As per DASV\u2019s standard\nbilling policy: a) if the Order includes backordered materials, DASV shall\ninvoice the Buyer for the portion of the Order that has been fulfilled, and the\nbalance of the Order will be invoiced as it is fulfilled. b) If the Order\nincludes both materials and workmanship, the Order shall be marked as partially\nfulfilled when the materials are shipped, and that portion of the Order shall\nbe invoiced.<o:p><\/o:p><\/p><p>The Order shall be marked as completely fulfilled when the workmanship\nis executed, and the balance of the Order shall be invoiced. Unless Buyer and\nDASV mutually agree to utilize a milestone based billing system, and as agreed\nto in advance in writing by both parties, DASV&#8217;s standard billing policy shall\napply. The quote is simply an estimate. Invoice will be generated based on the\nactuals at the time of completion and may differ from the initial quote. The\nBuyer shall pay DASV with a credit\/debit card, unless exemption has been\ngranted in writing by DASV to accept Buyer\u2019s Purchase Order based on approved credit.\nAll accepted Purchase Orders shall carry Net 30 Terms from the date of invoice.\nThe payment shall be collected (\u201ccaptured\u201d) once the Order has been partially\nand\/or totally fulfilled. <o:p><\/o:p><\/p><p><b>Shipment: <\/b>Unless otherwise specified, all shipments\nare made DDU origin. <o:p><\/o:p><\/p><p><b>Delivery: <\/b>Shipping dates are approximate, and seller\nshall not be liable for delays in delivery. <o:p><\/o:p><\/p><p><b>Inspection: <\/b>Promptly upon delivery, but no later than\ntwo (2) days after delivery, Buyer shall (i) examine and inspect all deliverables;\nand (ii) notify Seller of any defect in material or workmanship or any other\nfact that causes the deliverables not to conform to the agreement between Buyer\nand Seller. Failure to inspect and inform Seller of a defect within the\nforegoing time period or the use of a deliverable by Buyer at any time shall be\nconclusive evidence that Seller has satisfactorily tendered delivery and that\nthe Buyer has inspected and accepted the deliverables. <o:p><\/o:p><\/p><p><b>Cancellations: <\/b>DASV shall levy a cancellation fee on\nOrders cancelled after they are approved. The minimum cancellation fee shall be\n10% of the total value of the Order and shall not exceed 30%. Cancellation\ncharges for orders for custom products specifically manufactured or sourced\naccording to Buyer\u2019s specifications may equal the order price for the products.\n<o:p><\/o:p><\/p><p><b>Returns: <\/b>No deliverable may be returned except upon\nSeller\u2019s written authorization in Seller\u2019s sole discretion. All authorized\nreturns must (i) be in new condition, resalable or usable in Seller\u2019s sole\ndiscretion and (ii) not have been used, installed, modified, rebuilt,\nreconditioned, repaired, altered or damaged. Buyer shall pay a restocking\ncharge of 25% of the price for all returns. No credit will be released for\nshipping charges. and the Buyer shall be responsible for the freight cost of\nreturning the Order. The restocking fee shall not apply if the Buyer can prove\nthat: a) DASV shipped the wrong Order in part or in full, or b) the Order\nshipped by DASV was received DOA (damaged on arrival). The Buyer shall bear the\nsole responsibility of furnishing all necessary documentation for investigation\nby DASV, which is required to waive the restocking fee. Returns are not\npermissible beyond 14 days from the date of material shipment. <o:p><\/o:p><\/p><p><b>Change Orders or Out of Scope Work: <\/b>DASV shall bill\nall orders on a Time &amp; Material (T&amp;M) basis, and the quote does not suggest\nor constitute a fixed-price contract. If both parties have signed a separate\nNot-to-Exceed (NTE) pricing agreement for a pre-defined scope of work, and DASV\nhas originally issued the NTE pricing agreement, any change orders or\nout-of-scope work will result in additional Time &amp; Material (T&amp;M)\ncharges from DASV. <o:p><\/o:p><\/p><p><b>Work Schedule: <\/b>Field services under this Order will\nbe scheduled and fulfilled by DASV<b><o:p><\/o:p><\/b><\/p><p>Technicians, and workmanship shall be billed at a minimum of\n4 hours. DASV\u2019s standard working hours are Monday to Friday 8:00AM- 5:00PM. Buyer\nshall be billed at the appropriate rate for work performed during overtime\nhours, on the weekend, or on a statutory holiday. <o:p><\/o:p><\/p><p><b>Spare Parts Warranty: <\/b>Mechanical components such as\nfans, motors, coils, and compressors sold by DASV are covered by a one-year\nSpare Parts Warranty beginning on the date of shipment. A 90-day Spare Parts Warranty\nshall be included with all electrical and electronic components. For a Spare\nParts Warranty claim to be valid, it must be filed during the Spare Parts\nWarranty term. DASV shall not accept any chargebacks from the Buyer for\ncomponents sourced from a third party as part of a Spare Parts Warranty claim,\nand all components granted under Spare Parts Warranty must be ordered and\narranged by DASV. The Spare Parts Warranty does not include freight and it will\nneed to be paid by the Buyer. If a part needing to be replaced is no longer\nunder Spare Parts Warranty, the cost of the part and the freight will need to be\npaid by the Buyer. <o:p><\/o:p><\/p><p><b>Material Substitution: <\/b>If materials or equipment which\nDASV is required to furnish under the Order become unavailable either\ntemporarily or permanently subsequent to the approval of the quote through\ncauses beyond the control and\/or without the fault of DASV, including but not\nlimited to End of Production (EOP) and End of Service or Support (EOS) from\nDASV\u2019s supplier, then DASV shall be excused from the requirement of furnishing\nexact replacement of such materials or equipment. Conditional upon Buyer\u2019s\ninterest in pursuing the Order, DASV shall make commercially reasonable efforts\nto find an alternative to the discontinued or unavailable material or equipment\nand furnish to Buyer a revised quote for re-approval. <o:p><\/o:p><\/p><p><b>Labor Warranty: <\/b>DASV will provide Buyer with a 60-day\nRepair Warranty (labor) on the workmanship performed by DASV Technicians. For a\nRepair Warranty claim to be valid, it must be filed during the Repair Warranty\nterm. DASV will not accept any chargebacks from the Buyer for work done under\nthe Repair Warranty by a 3rd party, and any workmanship granted under the\nRepair Warranty must be scheduled and fulfilled by DASV Technicians.&nbsp;<\/p><p><b>Labor\nSubstitution: <\/b>If a DASV Technician is unavailable due to scheduling\nconflicts, DASV will either a) reschedule the DASV Technician to a mutually\nagreed-upon date or b) engage and dispatch an authorized service partner\nTechnician to perform the scope of work covered under this Order on the\noriginally scheduled date or the next best date.<o:p><\/o:p><\/p><p><b>Limitations of Spare Parts Warranty and Repair Warranty: <\/b>The\nSpare Parts Warranty and Repair Warranty will be valid against defects in the\nquality of materials and DASV &nbsp;Technicians\u2019\nworkmanship. DASV shall not be liable during or following the Spare Parts\nWarranty and\/or Repair Warranty Period for any: Damage due to abusive use; Damage\ndue to use of the equipment beyond the design temperatures; Loss or damages\ncaused in any way by the weather or acts of God; Any water leak, blockage,\nfreezing, or other malfunction of condensate or drain lines; and\/or Air leaks\narising from structural deficiencies within existing supply\/return ducts or\ntransitions; Products that have become defective or damaged as a result of the\nuse of a contaminated water circuit or operation at abnormal water temperatures\nand\/or flow rates; Products which have become defective or damaged as a result\nof unauthorized opening of refrigerant circuit, improper wiring, electrical supply\ncharacteristics, accidents, transportation, misuse, abuse, fire, flood,\nalteration and\/or misapplication of the product; Products that have been\ncorroded due to improperly balanced pool chemistry or corrosive air quality,\nand\/or eroded, vandalized, etc.; Products that have faced unusual physical,\nelectrical and\/or mechanical stress, and events out of manufacturer\u2019s control\nsuch as adverse weather, environmental conditions, etc.; Products that have\nbeen moved from the location where they were first installed; Any portion of\nthe system or replacement components not supplied by manufacturer; Products whose\ndefect has been caused by alteration or repair by anyone except DASV or DASV\u2019\nauthorized service partners; Products on which the model and\/or serial number\nplates have been removed or defaced; Products on which payment is in default. <o:p><\/o:p><\/p><p><b>Design Conditions: <\/b>All equipment is designed and\nengineered according to manufacturer\u2019s specified Design Conditions. DASV is not\nresponsible for cooling\/heating or dehumidification beyond the Design\nConditions or any environmental variations beyond the specified conditions. <o:p><\/o:p><\/p><p><b>Premise Conditions: <\/b>The Buyer agrees to maintain the\nlocation(s) in a safe condition and in accordance with all city, county, state\nand\/or federal laws and regulations. The Buyer shall be responsible for all\nlosses, costs or damages which any person, including any DASV personnel, may\nsuffer or incur in or about the location(s) due to any unsafe condition.<o:p><\/o:p><\/p><p><b>Insurance and Waiver of Subrogation: <\/b>The Buyer shall\nmaintain property insurance upon the entire structure including all work to be performed\npursuant to this Order to its full insurable value. This insurance shall inure\nagainst the perils of fire, theft, extended coverage, vandalism, and malicious\nmischief. The Buyer and DASV waive all rights against each other for damages\ncaused by insured perils whether or not such damage is caused by the fault or\nnegligence of any party hereto.<o:p><\/o:p><\/p><p><b>Limitation of Liabilities: <\/b>In no event whatsoever\nshall either party be liable to the other under any causes of action for any\nindirect, incidental, special, consequential, exemplary or punitive damages, or\nother similar type of damages, including but not limited to damages based upon\nloss of profits and\/or loss of business arising out of or in any way related to\nthis Order, whether or not such party is informed, knew or should have known,\nof the possibility of such damages in advance. Under no circumstances\nwhatsoever shall either party be liable to the other or to any other party for\ndamages of any kind related to this Order, in any amount of money which shall\nexceed the value of the amount paid to DASV. Buyer agrees that DASV is a\nService Business Unit, and any product-performance related claims and\/or\ndisputes shall be resolved between Buyer and Manufacturer per the purchase\nagreement between the two parties. <o:p><\/o:p><\/p><p><b>Additional Policies: <\/b>The Order is subject to\nadditional Service Policy and Privacy Policy accessible on DASV\u2019s website, and\nDASV retains the prerogative to make amendments and\/or revisions to the said\nadditional Policies periodically. <o:p><\/o:p><\/p><p><b>Indemnification: <\/b>The Buyer shall indemnify, defend,\nand hold harmless DASV and its respective directors, officers, employees,\nagents, sureties, subcontractors, and suppliers from and against any and all\nlosses, costs, expenses, damages, injuries, claims, demands, obligations,\nliabilities, judgments, fines, penalties, interest and causes of action,\nincluding without limitation administrative and legal costs and reasonable\nattorney&#8217;s fees, involving the following: (a) injury or death to any person, or\ndamage to or destruction of any property (including loss of use thereof),\nexcept to the extent caused by the gross negligence or intentional misconduct\nof DASV; and (b) any failure of the Buyer to comply with the requirements of\nthe Order. <o:p><\/o:p><\/p><p><b>Risk of Loss: <\/b>Risk of loss shall pass to the Buyer\nupon delivery of materials and equipment to Buyer\u2019s property. DASV shall not be\nresponsible for any loss due to fire, theft, vandalism, and\/or malicious\nmischief once delivered to Customer\u2019s Property. The Buyer shall assume all responsibility\nfor any such loss and Buyer shall maintain insurance coverage to protect\nagainst such loss. <o:p><\/o:p><\/p><p><b>Severability: <\/b>Should any part of this Terms and\nConditions be judged to be void, unenforceable, or contrary to public policy,\nonly such void or unenforceable portion shall be stricken and eliminated hereof\nwhile the other portions remain valid and enforceable.&nbsp;<\/p><p><b>Performance: <\/b>If\nBuyer fails to perform any of Buyer\u2019s obligations herein or if DASV, in good\nfaith, believes that the prospect of payment or performance to be impaired,\nDASV may upon seven (7) days written notice to Buyer terminate this Order while\nretaining all mechanic\u2019s lien rights as well as right to payment for the full\namount of work performed plus reasonable overhead and profit, interest, attorneys\u2019\nfees, and other charges due and unpaid. <o:p><\/o:p><\/p><p><b>Marketing Requirements: <\/b>Buyer agrees that DASV may\nlist Buyer\u2019s name and\/or logo on its website, brochures, press releases, social\nmedia updates, and any other marketing artifact in print or digital format.\nBuyer shall not publicly acknowledge the involvement of any third-party service\ncompanies, suppliers or Service Partner technicians that are furnished by DASV,\nunless pre-approved by DASV. Buyer and DASV may work together to support a\nrange of additional mutually acceptable comarketing initiatives to promote each\nother\u2019s products and\/or services, which may include, but are not limited to the\nfollowing: press releases, case studies, promotional materials, offers, etc.\nDASV agrees that it shall not refer to Buyer directly or indirectly in any\nadvertisement, news release, or publicity campaign without prior written\napproval from Buyer. <o:p><\/o:p><\/p><p><b>Collections: <\/b>If amounts owing under this Order are\nnot paid within thirty (30) days, Buyer agrees to pay a late charge of two per\ncent (2%) per month or twenty-four per cent (24%) per annum on the unpaid amount\ncalculated from the date payment was due. Buyer will be deemed to have accepted\nDASV\u2019s performance as complete under the Terms and Conditions of this Order\nunless the Buyer notified DASV in writing otherwise within thirty (30) days of\nsubstantial completion. Should DASV retain the assistance of a third party,\nincluding without limitation an attorney, to assist with collection of unpaid\namounts due and owing, the Buyer agrees to pay DASV\u2019s costs associated\ntherewith including without limitation reasonable attorneys\u2019 fees, court costs,\nand interest at the maximum legal rate. <o:p><\/o:p><\/p><p><b>Force Majeure<\/b>: Neither Buyer nor DASV shall be liable\nor deemed to be in default for any delay or failure in performance of this\nOrder or other interruption of service or employment deemed resulting, directly\nor indirectly, from acts of God, civil or military authority, acts of public\nenemy, terrorist acts, war, accidents, fires, explosions, adverse weather\nconditions not reasonably anticipated, hurricanes, earthquakes, floods,\npandemic, failure or delays in transportation, 3rd party contractor\navailability, supply-chain disruptions, DASV\u2019s ability to obtain legacy,\ndiscontinued, or replacement materials, vandalism, or strikes, inflation, or\nany cause beyond the control of Buyer and DASV. <o:p><\/o:p><\/p><p>\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n<\/p><p><b>Entirety: <\/b>This document constitutes the entire Terms\nand Conditions between Buyer and DASV.
